1. Scope of Services
- Covers: Supplier vetting, QC inspections, shipping coordination
- Excludes: Product design IP liability, end-market compliance
2. Fees & Payments
- Commission: 3-8% of order value (product-category tiered)
- QC surcharge: $120/AQL 2.5 inspection
3. Liability Cap
- Maximum compensation: 200% of service fee per order
- Hidden defects claims must be filed within 30 days of delivery
4. Termination
- Client: 30-day written notice + settlement of pending fees
- RX-SOURCING: Immediate termination for material breach (e.g., fraudulent orders)
5. Key Clauses
Force majeure defined per CISG Article 79
